What you need to put in

Ten percent of the total project cost is the SBA minimum for buying a business, and the project cost is everything the loan pays for: the purchase price, the closing costs, and the working capital you are borrowing to get through the first months.

Half of that ten percent can be a seller note, which is the structure most buyers are hoping for. The catch since June 2025 is that the note has to be on full standby for the entire life of the SBA loan, meaning no principal and no interest paid to the seller for ten years. A note on two year standby, which used to qualify, no longer counts toward your injection. The other five percent has to be real money, and the lender will trace where it came from.

On rate, an acquisition loan of this size prices near Prime plus 2.75 percent, with Prime plus 3.0 percent the SBA ceiling above $350,000. Ten year term, no balloon, and no prepayment penalty at that maturity. If real estate is part of the purchase the term stretches and the arithmetic changes.

Environmental review starts with a full Phase I

SBA requires an environmental investigation of any commercial property on which the lender takes a mortgage, deed of trust or leasehold deed of trust as security. Automotive repair is on SBA's list of environmentally sensitive industries, so for a repair site the investigation must begin with a Phase I environmental site assessment, not a lighter screen, whatever the size of the loan. The lender also checks the site's known past uses against the same list. A Phase I looks at the history of the site, and if it finds a likely problem the consultant can recommend a Phase II, which means sampling soil or groundwater. That adds weeks and cost, so order the Phase I early. SBA's rules also say a Phase I should always be obtained for a business that sells fuel, so sites that once sold fuel deserve extra caution even if today's shop is clean.

Floor drains, lifts and buried tanks

Walk the bays and find out where every floor drain goes. A service bay drain that runs to a septic system or dry well is a motor vehicle waste disposal well under EPA rules. New ones have been banned nationwide since April 5, 2000, existing ones in protected groundwater areas have to be closed or permitted, and state rules can be stricter. Ask whether the in-ground lifts have ever leaked hydraulic fluid, and whether there is, or ever was, an underground tank for waste oil, heating oil or fuel. Used oil has its own storage rules (tanks and containers in good condition, not leaking, labeled "Used Oil", spills stopped and cleaned up), so look at how it is stored and who hauls it away.

The technicians are the capacity

A shop can only bill the hours its technicians can turn, so the people matter as much as the bays. Find out who holds the diagnostic skill, how long they have been there, how they are paid (flat rate or hourly), and whether they will stay under a new owner. If the seller is the lead diagnostician, plan for that gap. Technicians usually own their hand tools, so be clear on what equipment actually belongs to the shop.

Equipment, software and who the customers are

List the lifts, alignment rack, tire equipment, scan tools and any calibration equipment with ages and inspection records, and note which diagnostic tools depend on paid software subscriptions. Pull revenue from the shop management system by repair order, and reconcile it to bank deposits and tax returns. Check how much comes from fleet or commercial accounts: a single fleet customer can be a large share of revenue and can leave with one phone call.

Beyond the usual credit questions. Have these answered before the file goes in and you save a round trip.

If you only lease the building and the lender takes no lien on the real estate or on your leasehold, that requirement does not apply to the site, but a lender's own policy may still call for environmental questions or reports. Read the lease's environmental clause closely, because some leases make the tenant responsible for contamination found at move-out, even if it predates you.

What does it mean if the Phase I recommends a Phase II?

It means the consultant found enough risk to justify testing soil or groundwater. That adds time and cost, and the results can lead to cleanup, a price change, or an indemnity from the seller. It is far better to find out before closing than after.

Are the technicians' tools included in the sale?

Usually not. Technicians typically own their hand tools and toolboxes, while the shop owns the lifts and major equipment. Get an equipment list attached to the purchase agreement so there is no argument on day one.
